Forming Sports Entities in Asturias: Clubs, SAD, Federations

Club Deportivo Basic

Concept: A slightly more complex structure to establish a sports club. Based on sports associations, these are non-profit organizations with legal personality, legal capacity, and their own heritage, organization, and administration. They are established to promote, facilitate practice, and encourage the participation of their members in sports activities.

Constitution

The promoters or founders must register the club’s founding charter in the Register of Sports Entities of Asturias. This charter is granted before a notary by at least five individuals acting as promoters. The founding act is accompanied by the interim Constitution of the Club, which must contain at least the following:

  • a) Name of the club.
  • b) The sports activities it aims to develop.
  • c) Head office, premises, and facilities.
  • d) Territorial structure.
  • e) Requirements and procedures for acquiring and losing membership.
  • f) Rights and duties of members.
  • g) Governing bodies: General Assembly and President.
  • h) The system for electing officers.
  • i) The system of responsibility for managers.
  • j) Club disciplinary procedures.
  • k) Founding heritage and the economic arrangements of the club.
  • l) Procedure for revising the Statute.
  • m) Club documentation scheme: member record book, accounting books, and records.
  • n) Causes for extinction and dissolution of the club.

Sports Corporation (S.A.D.)

Concept: These entities are subject to state law and include clubs or professional teams participating in official professional competitions at the state level. They adopt the legal form of an S.A.D. (Sociedad AnĂ³nima Deportiva) and are subject to the regulations governing Corporations. They are for-profit companies. They must register with the respective Federation and the Mercantile Registry. They may not maintain more than one team in the same category of a sports competition. They must have a minimum capital, a General Meeting of Shareholders, a Charter, and a Board of Directors.

Asturian Sports Federations

Concept: These are private entities with legal personality and are non-profit organizations. They are comprised of sports clubs, athletes, technicians, judges and referees, and other stakeholders to promote, facilitate practice, or contribute to the development of sport.

Scope

Only one sports federation can be recognized for each sport, and its scope will extend to the entire territory of the Principality of Asturias. The exception is federations for people with disabilities, which may be either sports-specific or the Asturian Federation of Traditional Sports.

They will join the relevant Spanish Sports Federation.

Operation

They have their own statutes, rules, and regulations, respecting the Spanish sports federations in which they are integrated and in accordance with democratic and representative principles. They shall conform, where possible, to the territorial organization of Asturias.

Constitution

The constitution of a sports federation is subject to the following conditions:

  • a) A foundation act signed before a notary by promoters, which should include at least three sports clubs in the same sport.
  • b) Provisional approval of their statutes by the competent organ of the Asturias sports administration.
  • c) Registration of Institutions of the Principality of Asturias sports.
